1. Acceptance of Terms

By accessing or using the GoDeli platform, including our website and mobile application (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and GoDeli ("we", "our", or "us"). Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of Service

GoDeli is a marketplace platform that connects customers with local stores (bodegas) and independent delivery drivers ("GoGetters"). The Service enables:

  • Customers to browse products, place orders, and receive deliveries from local stores
  • Store owners to list products, manage inventory, process orders, and manage their team
  • GoGetters to accept and fulfill delivery requests as independent contractors
  • Staff members to assist store owners with operations based on assigned permissions

GoDeli acts solely as an intermediary platform. We do not own, operate, or control any store, and we do not employ GoGetters. We are not responsible for the quality, safety, or legality of products listed by stores.

3. User Accounts

To use certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Keep your login credentials confidential and not share them with any third party
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You may register as a customer, store owner, GoGetter, or be invited as a staff member by a store owner. Each account type is subject to specific obligations described in these Terms. You must be at least 18 years old to create an account.

4. Store Owners

If you register as a store owner, you agree to the following:

  • You are solely responsible for the accuracy of product listings, including descriptions, pricing, images, and availability
  • You must comply with all applicable local, state, and federal laws and regulations, including food safety, licensing, and tax requirements
  • You are responsible for fulfilling orders promptly and accurately
  • You may invite team members (staff) to help manage your store using invite codes, and you are responsible for managing their roles and permissions
  • You agree to the payment terms described in Section 7, including applicable platform fees
  • You must maintain accurate business information, including store name, address, and operating hours

Store owners may create and manage multiple stores on the platform. Each additional store requires a valid platform invite code.

5. GoGetters (Delivery Drivers)

If you register as a GoGetter, you acknowledge and agree that:

  • You are an independent contractor, not an employee, agent, or representative of GoDeli
  • You are free to accept or decline delivery requests at your discretion
  • You are responsible for complying with all applicable traffic laws, vehicle regulations, and safety requirements
  • You must maintain any required licenses, permits, and insurance for your delivery activities
  • You are responsible for delivering orders in a timely manner and in good condition
  • You agree to handle customer information (name, address, phone number) confidentially and use it solely for delivery purposes

GoDeli does not control the manner or method by which you perform deliveries. Nothing in these Terms creates an employment relationship, partnership, or joint venture between you and GoDeli.

6. Customers

If you use the Service to place orders, you agree to:

  • Provide accurate delivery information, including your address and contact details
  • Be available to receive your delivery at the specified location
  • Pay all applicable charges, including product prices, delivery fees, and any applicable taxes
  • Comply with any age restrictions for products that require age verification (such as tobacco or alcohol, where permitted by law)
  • Review your order carefully before submitting, as orders may not be cancellable once accepted by a store

7. Payments & Fees

All payments on the GoDeli platform are processed through Stripe, a third-party payment processor. By using the Service, you agree to Stripe's Terms of Service.

For Customers

  • You authorize GoDeli to charge your selected payment method for the total order amount, including product prices, delivery fees, tips, and applicable taxes
  • Refunds are handled on a case-by-case basis and may be issued for incorrect, missing, or damaged items at our discretion

For Store Owners

  • Store owners receive payouts through Stripe Connect, subject to Stripe's payout schedule and requirements
  • GoDeli may deduct platform fees and commissions from payouts as agreed during store onboarding
  • You are responsible for any taxes arising from your use of the Service and the sale of your products

For GoGetters

  • GoGetters earn delivery fees and tips for completed deliveries
  • Earnings are paid out according to the payout schedule communicated in the app
  • As an independent contractor, you are responsible for reporting and paying your own taxes on earnings

8. Intellectual Property

The GoDeli platform, including its design, code, branding, logos, and all associated intellectual property, is owned by GoDeli and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

You retain ownership of any content you upload to the platform (such as product images, store descriptions, and profile information). By uploading content, you grant GoDeli a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content solely in connection with operating the Service.

9. Prohibited Conduct

You agree not to engage in any of the following activities:

  • Violating any applicable law, regulation, or third-party rights
  • Providing false, misleading, or fraudulent information
  • Attempting to gain unauthorized access to the Service, other user accounts, or our systems
  • Using automated tools, bots, or scrapers to access or extract data from the Service
  • Interfering with or disrupting the integrity or performance of the Service
  • Harassing, threatening, or abusing other users, store staff, GoGetters, or GoDeli personnel
  • Listing or selling illegal, counterfeit, or prohibited items
  • Circumventing any security measures or access controls
  • Using the Service for any purpose that is harmful, deceptive, or unethical

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GODELI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

GoDeli acts as a marketplace intermediary and does not guarantee the quality, safety, legality, or availability of any products or services offered by stores or GoGetters. You acknowledge that your use of the Service and any transactions with stores or GoGetters are at your own risk.

In no event shall GoDeli's total liability to you for all claims arising out of or relating to the Service exceed the amount you paid to GoDeli in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless GoDeli and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content you submit to the Service.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered in New York, New York, in accordance with the rules of the American Arbitration Association.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or class arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration against GoDeli.

13. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms.

You may terminate your account at any time by contacting us or using the account deletion feature in the app. Upon termination, your right to use the Service will immediately cease, but provisions that by their nature should survive termination (including Sections 8, 10, 11, and 12) will remain in effect.

If you are a store owner, termination of your account does not relieve you of any outstanding obligations, including unfulfilled orders or pending payouts.

14. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date. We may also notify you through the app or by email for significant changes.

Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and GoDeli regarding your use of the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
